• “Client” refers to any person, organization, or entity that engages our services to find talent.
• “Talent” refers to any model, actor, performer, or other individual represented by the Agency.
• “User” refers to any person accessing our website or using our services.
• “Website” refers to the website operated by Walk On Agency at walkon.agency.

3. Agency Services

For Talent:

• The Agency will use reasonable efforts to secure appropriate work for Talent.
• The Agency does not guarantee any level of work or income for Talent.
• Talent agrees to maintain professional standards and to attend all bookings punctually.
• Talent agrees to pay commission to the Agency at the agreed-upon rate for all work secured through the Agency.

For Clients:

• The Agency will use reasonable efforts to provide suitable Talent for Client's requirements.
• Clients must provide clear and detailed briefs for their requirements.
• Clients agree to pay all fees and charges for Agency services according to the agreed-upon terms.
• Direct booking of Talent without the Agency's involvement following an introduction is prohibited.

4. Bookings and Cancellations

All bookings are subject to the Agency's booking procedures. Cancellations may be subject to cancellation fees as follows:

• Cancellation more than 7 days before the booking: No fee
• Cancellation 3-7 days before the booking: 50% of the agreed fee
• Cancellation less than 3 days before the booking: 100% of the agreed fee

5. Intellectual Property Rights

Unless otherwise agreed in writing, all intellectual property rights in any materials produced by Talent for Clients remain with the Client. The Agency retains the right to use images and recordings of Talent for promotional purposes unless otherwise specified.

6. Confidentiality

All parties agree to maintain the confidentiality of information shared during the course of business, including but not limited to commercial terms, personal information, and project details.

7. Liability

The Agency's liability is limited to the fees paid for the specific services in question. The Agency is not liable for any indirect or consequential loss arising from our services.

The Agency makes reasonable efforts to ensure the accuracy of Talent information but cannot guarantee the suitability of Talent for specific requirements.

8. Website Use

Users agree not to use the Website in any way that causes, or may cause, damage to the Website or impairment of the availability or accessibility of the Website.

Users agree not to use the Website:

• In any way that is unlawful, illegal, fraudulent, or harmful.
• In connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
• To impersonate any person or misrepresent identity or affiliation with any person.
• To scrape, mine, or gather data about Talent without authorization.

9. Termination

The Agency may terminate any agreement with Talent or Clients with appropriate notice as specified in individual contracts. Upon termination, all rights and obligations of the parties shall cease, except for those rights and obligations that are intended to survive termination.

10. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the jurisdiction in which the Agency operates, and any disputes relating to these terms and conditions shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

11. Changes to Terms

The Agency reserves the right to modify these terms and conditions at any time. We will notify users of any changes by posting the new terms and conditions on the Website. Your continued use of the Website or services after changes constitutes acceptance of the new terms.
